Our contract review service provides a comprehensive analysis of your contractor or employment agreement. We identify red flags, problematic clauses, restrictive covenants, IP ownership issues, termination provisions, liability limitations, and—for contractor agreements—IR35 implications. Our solicitors conduct detailed reviews with commentary in lay terminology as annotations within your document. You can choose what to do with this advice: request amendments, seek negotiation strategy guidance, or use our comments to strengthen your position with the other party. Our review gives you the valuable insights needed to move forward confidently.

Yes, we take confidentiality very seriously and we are bound to keep all dealings with you confidential. Your documents and communications are protected by legal privilege where applicable.

How long does a review of your Contractor or Employment Contract take?

Accepted Answer

Our reviews take 2 whole working days, unless you order the Express Delivery option. The Express Delivery option needs to be ordered before 1PM in order for it to be delivered before midnight on the same day, otherwise it will be delivered the following day before 5PM.

Will I know who my solicitor is?

Yes, your solicitor will be in direct contact with you via email when delivering the review to you.

Can I ask clarifying questions to my solicitor about the review?

Accepted Answer

Yes, you may ask any follow-up clarifying questions to your solicitor via email, who will answer the questions at no additional cost. You also have the option, as an optional extra, to schedule a 20-minute consultation with your solicitor if you would like to clarify any questions during an online consultation.

What if your contract has already been signed and I am looking to get an opinion on my legal position?

If your contract has already been signed, and you are looking to get guidance on a specific situation that has arisen, you can still use this review service. In the field which reads "Is there any information that you would like to bring to our attention about this contract", please insert the specific points that you are looking to have the guidance center around.

What if my contract needs to be fundamentally amended after the review?

Our review service is designed to identify issues and concerns within your contractor or employment agreement. In the event of amendments being required, once the review is provided to you, we would then provide you with a quotation to attend to the amendments on your behalf. Whether you proceed with such amendments is obviously at your discretion.

What if I would like AirCounsel to assist with contract negotiations?

Once your contract has been reviewed, it may be necessary to negotiate amendments with the other party/ies to the contract. This might take the form of amendments being effected to the contract itself by our Solicitors, email correspondence being sent by us to the other party/ies with our proposed amendments, or a call / online meeting with the other Party/ies to discuss & negotiate. Once reviewed, and if necessary, we will provide you with a quote to attend to the negotiations.

Does the review also include amendments being made to the contract?

Our reviews entail pointing out issues and concerns, and as such, does not ordinarily include actual amendments being made to the contract or document, which amendments are normally quoted for separately. However, you can order an hour of amendments as an optional extra during the checkout process.

How do you measure page length?

Accepted Answer

Page length is measured in Tahoma font, size 11, 1.5 line spacing. If you are uncertain how to do this, feel free to send the agreement via live chat or email for us to measure it for you.

What if I am uncertain how to measure the length of my contract or document?

Accepted Answer

No issue. Upload the contract as is and select the page tier that you think is correct. Once the order is received, we will then measure it in our measuring font. Should it measure much longer than the tier ordered, we will simply revert to you with the shortfall payment link in order for you to make a payment corresponding with the correct page length tier.

Do you get to consult with the solicitor after the review?

If you select the optional extra of an online consult with your solicitor, you will have access to a 20 minute online consultation with your Solicitor to discuss the review once it has been conducted.

Are our solicitors registered and regulated?

Accepted Answer

Yes, our solicitors are regulated by the Solicitors Regulation Authority (SRA) and qualified to practice in the UK.

How many years of experience will my solicitor have?

Accepted Answer

Your solicitor will have no less than 12 years' practicing experience, but in most instances at least 20 years' experience.

What jurisdictions does our review service cover?

Accepted Answer

We provide contract review services across the UK and should be able to review your contract no matter where it is from in the UK.

By what time do I need to order the Express Delivery service to ensure delivery on the same day?

Accepted Answer

To receive your review on the same day before midnight, you will need to order the Express Delivery before 1PM. Express Delivery orders made after 1PM will be delivered during the next business day, prior to 5PM.

Do you help with IR35, SDS and CEST assessments?

Accepted Answer

Yes. For contractor agreements, we assess IR35 status as part of our comprehensive review. We can also support drafting or reviewing a Status Determination Statement (SDS) and advise on CEST outcomes in context with your contract and working practices.
